Welcome to the website of Phare Labs Inc. (“Phare Labs,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website located at www.pharelabs.com and any related websites operated by us or our affiliates (collectively, the “Site”).

BY ACCESSING OR USING THE SITE IN ANY MANNER, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SITE.

Phare Labs owns and operates the Site and may update these Terms from time to time at its sole discretion. We will indicate the date of the latest revision at the top of the Terms. It is your responsibility to review any updates. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.

Subject to your compliance with these Terms, Phare Labs grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for personal and lawful purposes only.

Acceptance of Terms

By accessing the Site or using Phare Labs’ Services, you agree to be bound by these Terms of Service (). Please review these Terms carefully before proceeding. Your use of the Site and Services indicates your acceptance of these Terms. If you do not agree with any part of the Terms, please refrain from using the Site or the Services. In these Terms, “you,” “your,” and “yours” refer to the user, while “Phare Labs,” “we,” “us,” and “our” refer to Phare Labs.  These Terms establish a legally binding agreement between you and us, collectively referred to as the “Parties” and individually as a “Party”.

Content

All content on the Site—including text, graphics, logos, icons, images, audio, video, software, and the overall design and layout (collectively, “Content”)—is the property of Phare Labs or its licensors and is protected by copyright, trademark, trade dress, patent, and other intellectual property laws.

Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, publish, display, modify, or transmit any part of the Site or its Content in any form or by any means, including mirroring or framing, without Phare Labs’ prior written consent.

Phare Labs may make certain product or service materials available for download. You may use such materials solely for personal, non-commercial purposes, provided that:

1. You do not remove or alter any copyright, trademark, or other proprietary notices;
2. You do not modify the materials;
3. You do not use them in a way that suggests an affiliation with or endorsement by Phare Labs; and
4. You do not post or distribute them on any network or in any media.

All rights not expressly granted in these Terms are reserved by Phare Labs.

Use of the Site

You agree not to use the Site or its Content in any way that is unlawful, unauthorized, or prohibited by these Terms. Specifically, you may not:

• Use any automated or manual method (including robots, spiders, scripts, scrapers, or similar technologies) to access, acquire, monitor, or copy any part of the Site or its Content without prior written permission;
• Circumvent or interfere with the navigation, structure, or presentation of the Site;
• Attempt to gain unauthorized access to any part of the Site, its systems, servers, or networks connected to it, including through hacking, password mining, or other illicit means;
• Probe, scan, or test the vulnerability of the Site or any connected system, or breach any security or authentication measures;
• Trace or seek to trace any information about other users or visitors, or exploit the Site to obtain personal or proprietary data, except as expressly permitted;
• Impose an unreasonable or disproportionately large load on Phare Labs’ infrastructure or disrupt the normal operation of the Site;
• Interfere with or attempt to interfere with the proper functioning of the Site or any transaction, or with another user's experience;
• Forge headers or otherwise manipulate identifiers to disguise the origin of any message or transmission;
• Impersonate any individual or entity, or falsely claim an affiliation with any person or organization.

Phare Labs reserves the right to monitor use of the Site and enforce these Terms through technical, legal, or other appropriate means.

Purchases and Other Terms and Conditions

Additional terms may apply to certain purchases, services, features, promotions, or sections of the Site (such as contests or special offers). These supplemental terms are incorporated by reference into these Terms and form part of your agreement with Phare Labs. By participating in or using those features, you agree to comply with the applicable terms, including any age or eligibility requirements.

If there is a conflict between these Terms and the specific terms applicable to a particular section of the Site or a service provided through it, the specific terms will govern your use of that section or service.

Phare Labs’ responsibilities regarding its products and services are governed solely by the agreements under which they are provided. Nothing on this Site modifies those agreements.

Phare Labs reserves the right to modify or discontinue any product, service, or pricing on the Site at any time without prior notice. Content on the Site related to products or services may be outdated, and Phare Labs makes no commitment to update such content.

Accounts, Passwords, and Security

Certain features or services on the Site may require you to create an account. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

You agree to notify Phare Labs immediately of any unauthorized access or use of your account or any other breach of security. You are responsible for any losses incurred by Phare Labs or others due to unauthorized use resulting from your failure to maintain your account security.

You may not use another person’s account or credentials without their express permission. Phare Labs is not liable for any loss or damage resulting from your failure to comply with these responsibilities.

Phare Labs reserves the right to suspend or terminate your account at any time for violation of these Terms or suspected unauthorized activity.

Privacy

Your use of the Site is subject to Phare Labs’ Privacy Policy , which is incorporated into these Terms by reference. By using the Site, you agree to the collection, use, and disclosure of your information as described in the Privacy Policy.

You acknowledge that internet transmissions are never fully secure or private. Any data or communication you send to or through the Site—including personal information—may be intercepted or accessed by others, even if the Site indicates that such transmissions are encrypted (e.g., for payment or login).

The Site may include links to independent third-party websites (“Linked Sites”) provided solely for your convenience. Phare Labs does not control or endorse any Linked Sites and is not responsible for their content, accuracy, policies, or practices.

Your use of Linked Sites is at your own risk. You are solely responsible for evaluating and interacting with any third-party websites, and Phare Labs disclaims any liability for any loss or damage arising from your use of them.

Disclaimers

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND. PHARE LABS MAKES NO GUARANTEES THAT THE SITE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. PHARE LABS DOES NOT WARRANT THAT YOUR USE OF THE SITE WILL YIELD ANY PARTICULAR RESULT.

PHARE LABS CANNOT GUARANTEE THAT ANY DATA OR FILES DOWNLOADED FROM THE SITE WILL BE FREE FROM VIRUSES OR OTHER HARMFUL ELEMENTS. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, PHARE LABS DISCLAIMS ALL WARRANTIES—EXPRESS OR IMPLIED—INCLUDING WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. PHARE LABS DISCLAIM ALL LIABILITY FOR THE ACTS, OMISSIONS, OR CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH YOUR USE OF THE SITE.

YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE SITE AND ANY LINKED SITES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE OR ITS CONTENT IS TO STOP USING IT.

This disclaimer applies to any damages or losses arising from failure of performance, error, omission, interruption, deletion, defect, delay, virus, unauthorized access, or any other cause of action.

Phare Labs reserves the right, at any time and without notice, to:

1. Modify, suspend, or terminate access to the Site or any portion of it;
2. Change any part of the Site or its policies and terms; and/or
3. Interrupt the Site to perform maintenance, error correction, or other updates.

Limitation of Liability

To the maximum extent permitted by law, Phare Labs shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages—including loss of profits, data, or goodwill—arising out of or related to your use of the Site, even if Phare Labs has been advised of the possibility of such damages.

If Phare Labs is found liable for any reason despite the above, our total liability to you for all claims in any 6-month period shall not exceed the greater of: (a) the total amount you paid, if any, for services or features on the Site during that period (excluding any hardware or software purchases), or (b) $100 USD.

Some jurisdictions do not allow certain exclusions or limitations of liability, so the above may not apply to you in full.

Indemnity

You agree to indemnify, defend, and hold harmless Phare Labs and its officers, directors, employees, agents, affiliates, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) your use or misuse of the Site or its content;
(b) your violation of these Terms; and
(c) your violation of any rights of a third party, including intellectual property or privacy rights.

Phare Labs reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

Governing Law and Dispute Resolution

These Terms and all disputes arising out of or relating to your access to or use of the Site will be governed by U.S. federal law and the laws of the State of Delaware, without regard to its conflict-of-laws provisions. You agree that any suit or proceeding against Phare Labs must be brought exclusively in the state or federal courts located Delaware; provided, however, that if you are a consumer based in the European Union, you may bring any claim in the courts of your country of residence. Any cause of action you may have under these Terms must be commenced within one (1) year after the cause of action accrues, or it will be permanently barred (this limitation does not apply to claims under separate terms and conditions governing the purchase of goods or services). In any dispute under these Terms, you may recover only your actual out-of-pocket expenses, and the prevailing party is entitled to recover its reasonable attorneys’ fees and costs. Before initiating any formal legal proceeding, the parties agree in good faith to try to resolve the dispute informally; if the dispute remains unresolved after thirty (30) days, either party may submit it to non-binding mediation under the rules of the American Arbitration Association (or another mutually agreed-upon mediator). If the dispute is not resolved through mediation, either party may then pursue any right or remedy available under applicable law in the courts described above.

Void Where Prohibited

Phare Labs operates this Site from its headquarters in Dallas, Texas, USA, and may operate other regional sites from locations outside the United States. Although the Site is accessible worldwide, not all features, products, or services described herein are available or suitable for use in every jurisdiction. Phare Labs may, in its sole discretion, limit or refuse access to any feature, product, or service, or restrict its quantity, for any person or geographic area. Any offer made on the Site is void where prohibited by law. If you access the Site from outside the United States, you do so on your own initiative and are responsible for complying with all local laws and regulations.

Miscellaneous

You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.

If any of the provisions of these Terms are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms, so that these Terms shall remain in full force and effect. These Terms constitute the entire agreement between you and Phare Labs with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and Phare Labs with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase agreement you enter into with Phare Labs, Phare Labs will not accept any counter-offers to these Terms, and all such offers are hereby categorically rejected. Phare Labs’ failure to insist on or enforce strict performance of these Terms shall not be construed as a waiver by Phare Labs of any provision or any right it has to enforce these Terms, nor shall any course of conduct between Phare Labs and you or any other party be deemed to modify any provision of these Terms. These Terms shall not be interpreted or construed to confer any rights or remedies on any third parties.

Phare Labs provides access to Phare Labs international data and, therefore, may contain references or cross references to Phare Labs products, programs, and services that are not announced in your country. Such reference does not imply that Phare Labs in your country intends to announce such products, programs, or services.

Any feedback you provide at this site shall be deemed to be non-confidential. Phare Labs shall be free to use such information on an unrestricted basis.

You may not export, re-export, or otherwise transfer any Content, products, or services obtained from the Site in violation of any applicable export laws or regulations, including U.S. export controls.

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be deemed modified to the minimum extent necessary to make it enforceable—or, if it cannot be so modified, it will be severed—without affecting the validity of the remaining provisions, which will continue in full force. These Terms (together with any other agreement you enter into with Phare Labs, including without limitation a purchase agreement) constitute the entire, exclusive agreement between you and Phare Labs regarding your use of the Site and supersede all prior agreements, whether written or oral. Phare Labs expressly rejects any counter-offers to these Terms, and its failure to enforce any right or provision hereunder will not constitute a waiver of such right or provision in the future. No third party may enforce or benefit from these Terms. You acknowledge that references to Phare Labs products, programs, or services not available in your jurisdiction do not obligate Phare Labs to announce or offer them in your country.

Feedback

Any and all feedback or suggestions you provide through the Site will be non-confidential and become Phare Labs’ sole property, free for use without restriction or compensation.
